Overview
This page explains how Devex works, what clients can expect from us, and where our responsibilities begin and end. Devex is both:
- A DPOR Class A Virginia licensed general contractor, and
- A construction and business advisory firm.
On any given project, we may act as your contractor, your advisor/consultant, or both. Our written agreement for each engagement defines which role(s) we are taking on and what is included.
Scope of Services
Devex provides a spectrum of services, including:
Licensed General Contracting Services
- Providing estimates and pricing for construction work.
- Planning and managing projects as the prime contractor.
- Coordinating and supervising subcontractors and trades.
- Performing construction, renovation, repair, or related work as contracted.
Advisory and Consulting Services
- Helping owners and businesses scope projects and prioritize phases.
- Reviewing contractor bids, proposals, scopes, and schedules.
- Organizing budgets, change tracking, and cost comparisons.
- Supporting communication and coordination between owners, contractors, lenders, and other parties.
- Providing operational advisory for contractors and small businesses.
If we are acting only as an advisor/consultant, we do not perform physical construction work or act as your contractor on that project. If we are acting as your contractor, that will be clearly documented in a separate construction contract or written agreement.
Credentials, Licensing & Professional Boundaries
- Devex is a DPOR Class A licensed Virginia general contractor and maintains required business registrations and licenses where we operate.
- Outside Virginia, we provide advisory-only services consistent with local consulting expectations.
- Additional licenses or certifications held by Devex or its principals may be listed in engagement materials or provided upon request.
Our licensing and experience do not make us your:
- Attorney,
- Architect/engineer (unless separately contracted through licensed professionals), or
- Tax or investment advisor.
Any references we make to laws, codes, or financial concepts are general information only. Clients should engage:
- A licensed attorney for legal matters and contract review.
- A licensed engineer or architect for design and structural issues.
- A CPA or tax advisor for tax and accounting questions.
- Independent financial or business advisors for lending or investment decisions.
Advisory Limits & No Guarantees
Even with careful planning and coordination, construction and business projects involve uncertainty. In particular:
- Estimates, budgets, and schedules are good-faith projections, not guarantees.
- Actual results depend on site conditions, market factors, third-party performance, permitting, and other variables outside our control.
- In advisory-only engagements, clients remain responsible for:
- Selecting and hiring contractors and vendors (unless Devex is separately contracted as GC).
- Making final decisions on scope, design, and budget.
- Signing and managing their contracts, change orders, and financing documents.
Our role is to improve clarity, structure, and decision-making—not to eliminate normal project risk.
Roles: Contractor vs. Advisor
To avoid confusion, we distinguish two core roles:
When Devex is your contractor (GC role):
- We may supervise or coordinate on-site work and manage subcontractors and trades, as outlined in your construction contract.
- Our responsibilities, any warranties, and limits of liability are defined by the construction contract and applicable law.
When Devex is only your advisor/consultant:
- We do not act as the contractor, builder, or employer of record for trades.
- We do not direct field work or control the means and methods of third-party contractors.
- You or your chosen general contractor are responsible for hiring, directing, and overseeing on-site work and safety.
If we first serve as advisor and later become your contractor (or vice versa), we will document that change clearly and may use separate agreements for different phases.
Independence, Conflicts of Interest & Referrals
Devex values independence and transparency:
- In advisory-only work, we do not accept hidden fees or kickbacks from contractors, vendors, or lenders we may recommend.
- When we serve as GC, we have a direct commercial interest in work we perform or manage and may hire subcontractors and vendors under our contracts.
We may, from time to time, recommend or coordinate with:
- Subcontractors and trades,
- Engineers, architects, and other design professionals,
- Lenders or financing partners, and
- Other specialists.
You are free to accept or decline these recommendations. Except where our contract makes us directly responsible, Devex does not guarantee the independent decisions, pricing, or performance of third parties. If Devex or an affiliate has a material financial interest beyond our normal contractor role, we aim to disclose that in writing.
Billing, Fees & Refunds
Devex uses clear, written agreements that explain how you will be billed. Depending on the engagement, fees may include:
- Advisory/consulting fees (fixed, hourly, or retainer-based).
- Construction contracts with line-item estimates, allowances, change orders, and progress payments.
- Hybrid arrangements where advisory and construction services are both present but documented in distinct scopes.
Unless a written agreement clearly states otherwise:
- Consulting and advisory fees are generally non‑refundable, including initial consultations, assessments, and planning work.
- Construction payments, retainage, adjustments, and any credits or refunds are governed by the specific construction contract for your project.
All billing terms, payment schedules, and refund/credit rules will be provided in writing before work begins.
Client Data, Confidentiality & Privacy
Devex treats client information with care. We:
- Use reasonable administrative, technical, and physical safeguards to protect non‑public client information.
- Use project-related data (plans, budgets, contracts, communications) only as needed to deliver services, manage risk, and meet legal or contractual obligations.
- May share limited information with:
- Subcontractors, vendors, or professionals who need it to perform their work,
- Lenders or financing partners you’ve authorized us to coordinate with, and
- Legal, insurance, or regulatory parties when required by law or to protect legitimate interests.

Insurance & Liability
Devex maintains insurance that is appropriate to our work as a contractor and advisor. This may include:
- General liability coverage for construction and related operations, and
- Professional liability (errors and omissions) for qualifying advisory services.
Coverage is always subject to the terms, limits, and exclusions of the underlying policies. Our liability to clients is limited by:
- The express terms of our agreements with you, and
- Applicable law.
We encourage clients to review their own insurance (e.g., homeowners, builders risk, business interruption, professional liability) with their insurance professionals.
Bilingual Support & Clarity
Devex offers support in both English and Spanish to reduce miscommunication in complex projects. While bilingual communication can help everyone stay aligned:
- The controlling language for contracts and official legal documents will be defined in the written agreement.
- Translations and explanations are provided in good faith and are not a substitute for your own careful review or separate professional advice.
Ethics & Regulatory Compliance
Devex is committed to:
- Operating within applicable construction, licensing, and business regulations.
- Upholding anti‑discrimination, fair housing, and fair lending principles where relevant.
- Treating clients, workers, and third parties honestly and respectfully.
We may decline or discontinue work if we believe a project or request would require us to act unlawfully, unethically, or outside our properly licensed scope.
OFFICIAL FINANCIAL DISCLOSURES & REGULATORY NOTICES

Entity Identification & Separation
Rexium Capital Investment Group LLC ("Rexium") and Devex Inc. operate as distinct legal entities. Consulting and advisory services are managed by Devex Inc., while financing coordination and investment services are facilitated through Rexium. Rexium is not a banking institution or FDIC-insured depository.

Terms of Credit & Underwriting
No information provided on this platform constitutes an offer to lend or a guarantee of credit extension. All financing arrangements are contingent upon comprehensive underwriting, due diligence, and verification of applicant credentials in accordance with institutional risk policies.
3.
Jurisdictional Licensing & Compliance
Rexium coordination services are provided where legally permitted. In jurisdictions requiring specific local licensure for lending or brokering, services are performed in partnership with appropriately credentialed third-party institutions compliant with state and federal regulations.

Advertising & Marketing Protocol
Any interest rates, payment schedules, or financial terms presented in marketing materials are strictly for illustrative purposes. Final terms are determined by individual credit profiles and current market conditions at the time of final closing.

Commercial-Purpose Financing Focus
Financing solutions facilitated by Rexium are primarily designed for commercial and business purposes. Any consumer-purpose credit inquiries are handled strictly through licensed retail lending channels to ensure full Truth-in-Lending Act (TILA) compliance where necessary.
6.
SAFE Act & Regulatory Exclusions
Rexium does not engage in residential mortgage loan origination (MLO) activities as defined by the SAFE Act without appropriate individual or corporate registration. Consulting services provided by Devex Inc. do not constitute investment advice or legal counsel.
7.
Transparency of Financial Terms
Detailed cost of capital disclosures, including APR equivalents where applicable for specific commercial credit, will be provided in writing once a formal financing offer is extended to the applicant for review and selection.
8.
Intermediary Service Compensation
Rexium may receive service fees or referral commissions from financial partners for successful placements or administrative coordination. These fees are standardized and disclosed during the final execution of financing documents.
9.
Information Security & Privacy Protocols
We utilize enterprise-grade administrative and technical safeguards to protect sensitive corporate and personal data. Information shared during the inquiry process is used solely for credit evaluation and professional service delivery and is never sold to unauthorized third parties.
10.
Digital Communications (ESIGN Act) Consent
By engaging with our digital platforms, users consent to the use of electronic records and signatures (ESIGN Act) for all preliminary agreements, disclosures, and ongoing professional communications via email, telephone, or secure messaging portals.

Fair Lending & Equal Opportunity Statement
